Terms of Service

Last updated: October 15, 2026

These Terms of Service ("Terms") are an agreement between you and Barría Miranda Inversiones Ltda (trade name: mem4dev) ("mem4dev", "we", "us"), with registered address at Walker Martínez 668, Of. 701, Chile, and govern your use of the mem4dev website, web application, API and MCP server (together, the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

mem4dev is an AI-assisted work journal. You record entries (text and, from the web application, attachments), organize them in scopes (separate workspaces inside your account), and query them in natural language. You can also authorize an external AI assistant (for example Claude, Cursor or VS Code) to read and, if you allow it, write entries on your behalf through our MCP server or REST API.

2. Your account

3. Plans, prices and payment

mem4dev offers a Free plan, which does not require a payment method, and a paid Individual plan with optional capacity upgrades inside it. Current prices and limits are shown on our pricing section and, once you are signed in, on the "My plan" page of the application. Prices are in US dollars (USD).

4. Plan limits and your data

Each plan sets limits on scopes, people per shared scope, entries, monthly interactions (saving entries and querying your journal) and stored attachments. When you reach a limit, you cannot create more of that resource until you free up space, wait for the next month (for interactions) or upgrade. We never delete your data because you reached a limit or moved to a lower plan: everything stays readable and exportable. If you share a scope with other people, the limits that apply to it are those of the plan of the scope's owner.

5. Shared scopes

You may invite other people to a scope you own and give them a role. People you invite can see and, depending on their role, edit the content of that scope. You are responsible for who you invite and for what is stored in a shared scope. If the owner's account is deleted or deactivated, the scopes they shared stop being available to the invited people.

6. Your content

You keep all rights to your entries, attachments and other material ("Your Content"). You give us a limited license to store, process and display Your Content solely to operate the Service for you, including indexing it for search and sending it to the AI and infrastructure providers listed in our Privacy Policy. We do not use Your Content to train AI models and we do not share it with other users, except with people you choose to share a scope with or an assistant you explicitly authorize. You confirm that you have the right to store Your Content and that it does not infringe anyone else's rights. If Your Content includes personal data of other people (colleagues, clients, relatives), you are responsible for having a lawful reason to store it. Do not store passwords, secret keys, payment-card numbers or other highly sensitive data in your entries. If you believe content in the Service infringes your rights, write to support@mem4dev.com and we will review it and remove it when appropriate.

7. AI features and their limits

The Service uses generative AI to find entries, answer questions about them and suggest tags. AI output can be incomplete or wrong. It is generated from your own entries and is not professional, legal, medical, financial or tax advice; check anything important against the original entries before relying on it. You are responsible for the prompts and questions you send and for any use of the answers. When you connect an external assistant, that assistant's own terms govern what it does with the information it receives from your journal. Actions an assistant performs through an authorization you granted, including creating, editing or deleting entries, are treated as your own actions, so grant read-only access unless you need the assistant to write, and review the scopes you authorize.

8. Acceptable use

You may not:

9. Intellectual property

The Service, including its software, design, brand and documentation, belongs to us and our licensors. These Terms give you only a personal, non-exclusive, non-transferable right to use the Service while you comply with them. Feedback you send us can be used without obligation to you.

10. Availability and support

We work to keep the Service running, but we do not guarantee that it will be uninterrupted or error-free. We may perform maintenance and change or remove features. Support is provided by email at support@mem4dev.com on a best-effort basis, without a guaranteed response time.

11. Suspension and termination

You can stop using the Service and delete your account at any time from the "My account" page. Deletion is confirmed through a link we send to your primary email; the account is then deactivated and kept for 30 days, during which you can cancel the deletion by signing in again. After that, the account and all of Your Content (including attachments and search indexes) are permanently deleted, and any active paid subscription is cancelled. We may suspend or close an account, with notice when possible, for material breach of these Terms, non-payment, repeated or serious misuse, or when needed to protect the security of the Service or other users or to comply with the law.

12. Warranties and liability

The Service is provided "as is" and "as available", without warranties of any kind, to the maximum extent permitted by law. To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for loss of profits, data or goodwill, and our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months before the event that gave rise to the claim (or USD 50 if you use only the Free plan). Nothing in these Terms limits liability that cannot be limited by law or any mandatory consumer rights you have in your country.

13. Indemnification

You will defend and hold us harmless from claims by third parties, and from the resulting losses and reasonable costs, that arise from Your Content, from your breach of these Terms or the law, or from actions taken through credentials, API keys or assistants you authorized. This does not apply to the extent the claim is caused by our own breach or negligence.

14. Changes

We may update these Terms, the features or the prices of the Service. We will notify registered users of material changes by email or in the application at least 15 days before they take effect. If you keep using the Service after that date, you accept the updated Terms; if you do not agree, you can cancel and delete your account before then.

15. General provisions

You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a reorganization or sale of the business. If a provision is found unenforceable, the rest remains in force. Our failure to enforce a right is not a waiver of it. These Terms, together with the Privacy Policy and the Refund Policy, are the entire agreement between you and us about the Service. Nothing in them creates a partnership, agency or employment relationship.

16. Governing law

These Terms are governed by the laws of the Republic of Chile, without prejudice to any mandatory consumer-protection rules of the country where you live. Disputes will be submitted to the competent courts of Santiago, Chile, unless mandatory law gives you the right to bring a claim in your own country.

17. Contracting entity and contact

The contracting party is Barría Miranda Inversiones Ltda (trade name: mem4dev), a company incorporated in Chile, Walker Martínez 668, Of. 701, Chile. Payments are processed by Paddle.com as Merchant of Record (see section 3). Email: support@mem4dev.com.
